These terms govern your use of the Thea Nexus platform. Please read them carefully.

1. About Thea Nexus
Thea Nexus is a trading name of TGW Group LTD, a company registered in England and Wales (company number 17278243), with its registered office at 3 Penn Road, Fenny Stratford, Milton Keynes MK2 2AU.
Thea Nexus operates a UK logistics connection platform. We may act either as (a) an introducer, connecting self-employed drivers with logistics companies, or (b) a managed driver supply provider, contracting directly with clients and engaging self-employed subcontractors to complete work. In managed driver supply arrangements, Thea Nexus may invoice the client and pay self-employed subcontractors, and may earn a commercial margin on completed work.
2. Acceptance of these Terms
By accessing or using the platform you agree to be bound by these terms. You must be at least 18 years old and legally capable of entering into binding contracts under the laws of England and Wales to use the platform.
3. Driver status and self-employment
Drivers using the platform are self-employed unless a separate written agreement with Thea Nexus expressly states otherwise. Thea Nexus is not automatically the employer of drivers and no employment, worker or agency relationship is created by registering on the platform.
Drivers are solely responsible for their own tax, National Insurance, VAT (where applicable) and all other obligations to HM Revenue & Customs.
4. No guarantee of work
Registering with Thea Nexus, joining the driver network, being introduced to a client or being engaged as a subcontractor does not guarantee work, hours, income, jobs, routes, assignments or earnings of any kind.
5. Driver responsibilities
- Hold and maintain a valid driving licence appropriate for the vehicle category operated.
- Hold legal right to work in the UK where applicable, and provide evidence on request.
- Maintain appropriate insurance, including motor insurance, Hire & Reward insurance where applicable, Goods in Transit insurance where applicable, and Public Liability insurance where required.
- Comply with all applicable road traffic laws, health and safety requirements, and operational instructions of the engaging client.
- Keep the information held on the platform accurate and up to date and notify Thea Nexus of any changes (including licence endorsements, insurance lapses or changes to right to work status).
6. Company responsibilities
- Be properly registered and authorised to operate in the UK.
- Carry out your own operational, safety and compliance checks on any driver engaged through the platform.
- Meet your own legal obligations as an engager of self-employed contractors, including IR35, agency worker and worker-status assessments where relevant.
- Where Thea Nexus is acting only as an introducer, agree payment terms directly with the driver and pay them promptly.
7. Vetting and document checking
Any vetting, identity check or document review carried out by Thea Nexus is provided on a reasonable-efforts basis only. It does not guarantee a driver's competence, reliability, legal compliance, fitness for any particular task, or suitability for any role. Logistics companies remain fully responsible for their own due diligence and operational checks.
8. Suspension and removal
Thea Nexus may suspend, remove, reject or refuse to deal with any user at its discretion, including (without limitation) for suspected fraud, misconduct, unsafe driving, invalid or expired documents, insurance issues, non-payment, repeated complaints, or breach of these terms.
9. Payments and disputes
Where Thea Nexus acts only as an introducer, payment is a matter between the driver and the engaging company. Thea Nexus is not responsible for unpaid invoices or payment disputes between drivers and companies in introducer arrangements.
Where Thea Nexus operates as a managed driver supply provider, payment terms will be set out in a separate written agreement with the client and with each subcontractor.
10. Limitation of liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded under the law of England and Wales.
Subject to the above, Thea Nexus is not liable for any loss, damage, cost or expense arising from the acts or omissions of third-party drivers, logistics companies, subcontractors, clients or other platform users. Our total aggregate liability to any user in any 12-month period shall not exceed the fees (if any) paid by that user to Thea Nexus in that period, or £100, whichever is greater.
11. Indemnity
You agree to indemnify and keep indemnified Thea Nexus, its officers, employees and agents against all losses, claims, fines, costs and expenses arising out of or in connection with your negligence, misconduct, breach of law, invalid or missing documents, insurance failures, tax issues, or contractual disputes with third parties.
12. Intellectual property
The platform, the Thea Nexus name and logo, and all content provided by us are the property of Thea Nexus or its licensors. You may not copy, reproduce, modify or distribute any part of the platform without our prior written consent.
13. Changes to these terms
We may amend these terms from time to time. Material changes will be notified through the platform or by email. Continued use of the platform after changes take effect constitutes acceptance of the revised terms.
14. Governing law and jurisdiction
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these terms or your use of the platform.
