Company Terms
These terms apply to logistics companies and clients using Thea Nexus to source drivers or contract managed driver supply, and supplement our main Terms & Conditions. Thea Nexus is a trading name of TGW Group LTD (company number 17278243), registered office: 3 Penn Road, Fenny Stratford, Milton Keynes MK2 2AU.

1. Two service modes
Thea Nexus can engage with companies in two ways: as an introducer (we introduce self-employed drivers, you contract with them directly), or as a managed driver supply provider (we contract with you and engage self-employed subcontractors to perform the work, taking a commercial margin).
2. Your responsibilities
- Carry out your own operational, safety and compliance checks on any driver engaged through the platform.
- Meet your own legal obligations as an engager of self-employed contractors, including IR35, agency worker and worker-status assessments where relevant.
- Provide drivers with accurate, safe and lawful instructions and working conditions.
- Hold and maintain all licences, permits and insurances required for your operations.
3. Vetting disclaimer
Any vetting or document checking carried out by Thea Nexus is provided on a reasonable-efforts basis only and does not guarantee a driver's competence, reliability, legal compliance or suitability. You remain responsible for your own due diligence.
4. Payment (introducer mode)
Where Thea Nexus acts only as an introducer, payment is a matter between you and the driver. Thea Nexus is not responsible for unpaid invoices or payment disputes between drivers and companies in introducer arrangements.
5. Payment (managed driver supply)
Where Thea Nexus operates as a managed driver supply provider, we invoice you for completed work and pay our self-employed subcontractors. Thea Nexus may earn a commercial margin on completed work. Specific commercial terms, rates and payment terms will be set out in a separate written agreement.
6. Suspension and removal
Thea Nexus may suspend, remove or refuse to deal with any company for non-payment, fraud, misconduct, unsafe working conditions, repeated complaints or breach of these terms.
7. Liability and indemnity
Thea Nexus is not liable for losses caused by third-party drivers, subcontractors or other platform users, except where liability cannot lawfully be excluded. You agree to indemnify Thea Nexus against losses caused by your negligence, misconduct, breach of law, unsafe instructions or contractual disputes with drivers.
8. Governing law
These company terms are governed by the laws of England and Wales, with exclusive jurisdiction of the courts of England and Wales.
